- The subject of the Agreement is to determine the rights and obligations of the Parties to the Agreement.
- Parties to the Agreement:
2.1. Representative of FPDtech (hereinafter referred to as the Representative), represented by____________________, on the one hand, and
2.2. _______________, ud. Identity No. _, issued by_____________, contact phone number__________________, (hereinafter referred to as the Agent),
have entered into this Agreement for the provision of Agency services for the dissemination of reliable information in order to attract potential FPDtech Users.
- The agent undertakes:
3.1. convey to potential Users reliable information about the effectiveness
operation of the “Super Torque” Pulse Module, based on personal experience in operating the Module on the Agent’s vehicle;
3.2. provide potential Users with reliable information about the operation of the FPDtech Service Center;
3..3. provide potential Users with reliable information about the benefits of the “Preferential Price” program;
3.4. in the event that a potential User confirms interest in purchasing the “Super Torque” Pulse Module, with the permission of the potential User, make a preliminary reservation for 15 (fifteen) days, namely,
once, in the personal presence of a potential User, send the potential User’s data – Last Name, First Name and telephone number of the potential User to the Representative’s resource for booking the “Super Torque” Pulse Module;
3.5. respect the potential User’s right to confidentiality, namely, not use the potential User’s data – Last Name, First Name and telephone number of the potential User for other purposes, for which, in the personal presence of the potential User, delete the message with the potential User’s data immediately after sending this data to the resource Representative for booking the “Super Torque” Pulse Module;
3.6. bear personal responsibility for fulfilling the taxpayer’s obligations in relation to amounts received as agency fees. - The agent has the right:
4.1. in the event that a potential User activates a reservation during the reservation period, namely, within 15 (fifteen) days from the date of sending the data, and further, after the potential User has purchased the “Super Torque” Pulse Module, the next day after the return period expires of the “Super Torque” Pulse Module (in the Republic of Kazakhstan 14 (fourteen) days after purchase) receive from the Representative on the same day an agency fee in the amount of 8 (eight)% of the established full payment amount for the “Super Torque” Pulse Module, in one payment in full volume;
4.2. in case of late payment of the agency fee, receive in addition to the payment amount 1 (one)% of the debt amount for each day of delay, but not more than 10 (ten)% of the debt amount;
4.3. in case of non-receipt of the agency fee after 10 (ten) days, inform the Official Manufacturer about the fact of dishonest fulfillment by the Representative of the obligations of this Agreement;
4.4. receive a notification from the Official Manufacturer about receipt of information about the fact of dishonest fulfillment of the obligations of this Agreement by the Representative;
4.5. resolve disputes with the Representative within the framework of current legislation. - The representative undertakes:
5.1. fully ensure the fulfillment of obligations to the Agent, namely:
5.2. not to reduce the validity period of this Agreement unilaterally;
5.3. do not unilaterally reduce the amount of the agent’s remuneration during the entire term of the Agreement;
5.4. in a timely manner, namely, the next day after the expiration of the return period for the “Super Torque” Pulse Module (in the Republic of Kazakhstan 14 (fourteen) days after purchase) the User attracted as a result of the work of the Agent shall pay the Agent an agency fee in the amount of 8 (eight)% of the established full amount of payment for the “Super Torque” Pulse Module, in one payment in full;
5.5. respect the Agent’s right to confidentiality, namely, not to appear in public space and not to transfer the Agent’s personal data to third parties;
5.6. respect the potential User’s right to confidentiality, namely, not to appear in the public space and not to transfer to third parties the personal data of the potential User received from the Agent;
Note:
the storage period for the potential User’s data is limited to the period of the established booking period, namely 15 (fifteen) days from the date of receipt of the potential User’s data from the Agent; upon expiration of the booking period, the data of the potential User is deleted by the Representative from the database of potential Users;
5.7. ensure the availability of the “Super Torque” Pulse Module reserved by the Agent for installation/connection of the “Super Torque” Pulse Module on the User’s Vehicle during the booking period (15 (fifteen) days from the date of receipt of the potential User’s data from the Agent);
5.8. in the event of an objective impossibility to ensure the availability of the “Super Torque” Pulse Module booked by the Agent for installation/connection of the “Super Torque” Pulse Module on the User’s Vehicle within the booking period (15 (fifteen) days from the date of receipt of the potential User’s data from the Agent), in a timely manner, before expiration of the reservation period, notify the potential User of the new date of arrival of the “Super Torque” Pulse Module reserved for the potential User with an extension of the reservation period for the period of forced postponement. - The representative has the right:
6.1. store the information received from the Agent containing the data (Last name, First name, telephone number) of the potential User on a medium and under conditions excluding any possibility of publishing the data in any form, for, and no more than, the established booking period, namely 15 (fifteen ) days from the date of receipt of the potential User’s data from the Agent;
6.2. increase the amount of agency remuneration by 1 (one)%, no earlier and no more often than 6 (six) months from the date of signing this Agreement for the provision of Agency services;
Note:
the maximum amount of the agent’s remuneration cannot exceed 10 (ten)% of the established full amount of payment for the “Super Torque” Pulse Module;
Note:
the change in the amount of the agency fee is confirmed by signing the Addendum to this Agreement; - Duration of the Agreement:
7.1. The validity period of this Agreement is 12 (twelve) months.
7.2. The Agreement comes into force from the moment it is signed by both Parties.
7.3. The Agreement is considered automatically extended if, within 10 (ten) days after the expiration of the current Agreement, one of the Parties has not notified the other Party in writing of the refusal to renew this Agreement.
